ONCE Terms of Service

These Terms of Service ("Terms") govern your access to and use of ONCE's websites, mobile applications, software agents, APIs, and services, including the ONCE distribution and registration assistant, ONCE's metadata automation tools, music release workflow, educational modules, and any related features or offerings (collectively, "Services").
"ONCE," "we," "us," and "our" refer to ONCECO INC, a Delaware C-corporation.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.
1Eligibility
To use the Services, you must be:
- At least 18 years old, or
- At least 13 years old with the consent of a parent or legal guardian.
If you are using the Services on behalf of another person, artist, creator, label, publisher, or business, you represent that you are authorized to do so and will remain personally responsible for your actions and obligations under these Terms.
2License to Use the Services
Subject to these Terms, ONCE grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purposes, including:
- Preparing and registering music releases
- Uploading audio, artwork, and metadata
- Running ONCE-powered agents and workflows
- Distributing content to participating DSPs and partners
- Managing rights, registrations, and royalty-related data
- Using educational and gamified modules to learn about music distribution and rights
This license may be revoked at any time at our sole discretion.
3Accounts
You may need to create an account ("Account") to access certain features.
You agree to:
- Provide accurate and complete registration information
- Maintain the confidentiality of your login credentials
- Accept responsibility for all activity conducted under your Account
- Notify us immediately if you suspect unauthorized use
ONCE is not liable for any loss arising from unauthorized access to your Account.
4Payments and Fees
Some features of the Services require payment, including but not limited to:
- Music distribution
- Metadata, registration, or research agent usage
- Automated submissions to third-party collection societies
- Optional credit-based usage features
- Premium add-ons or integrations
Where applicable, ONCE will charge the payment method you provide. All fees are subject to change at ONCE's discretion.
Refunds are granted solely at ONCE's discretion.
Failure to pay may result in suspension or termination of your Account.
5User Content
The Services may allow you to upload, submit, store, or transmit audio recordings, compositions, artwork, images, metadata, text, messages, and other materials ("User Content").
By submitting User Content through the Services, you represent and warrant that:
- You own or have valid rights to all User Content you submit.
- Your User Content does not infringe any third-party rights.
- You have all permissions required for ONCE to distribute, register, analyze, or otherwise process the User Content as directed by you.
5.1 License Grant to ONCE
By submitting User Content through the Services, you grant ONCE a non-exclusive, worldwide, royalty-free, transferable license to use, host, store, reproduce, transmit, analyze, reformat, and process your User Content solely for the purpose of operating, improving, and providing the Services, including:
- Running ONCE agents and workflows
- Preparing metadata
- Submitting and registering works to third-party services
- Distributing your content to DSPs at your request
- Creating previews or internal representations for system functionality
ONCE does not claim ownership of your recordings or compositions.
5.2 Distribution to DSPs, PROs, CMOs, and Other Partners
If you instruct ONCE to distribute or register content, you grant us all rights necessary to perform that distribution or registration, including rights to deliver audio, metadata, artwork, lyrics, and other required materials to digital service providers ("DSPs"), collective management organizations ("CMOs"), performing rights organizations ("PROs"), mechanical rights organizations, or other partners.
6Prohibited Conduct
You agree not to use the Services to:
- Upload content you do not own or are not authorized to distribute
- Infringe copyrights, trademarks, or rights of publicity
- Engage in fraudulent, misleading, or deceptive activity
- Artificially manipulate streams, algorithms, payouts, or royalties
- Upload harmful, abusive, defamatory, hateful, illegal, or obscene content
- Engage in activities that may cause harm to minors
- Interfere with or disrupt the Services or servers
- Attempt to reverse engineer, decompile, or access source code
- Use bots, scrapers, or automated systems not authorized by ONCE
- Circumvent usage limits, agent limits, or credit systems
ONCE may remove prohibited content or suspend Accounts at its discretion.
7Third-Party Services
The Services may integrate with or submit data to third-party services such as:
- DSPs (Spotify, Apple Music, etc.)
- Metadata databases (MusicBrainz, Discogs, MLC, PROs, etc.)
- Distribution partners
- AI services used for analysis or metadata generation
- Payment or royalty processing providers
- Social media or marketing platforms
Your use of third-party services is subject to their terms. ONCE is not responsible for third-party actions or policies.
8Copyright Claims / DMCA
ONCE complies with the Digital Millennium Copyright Act. If you believe User Content infringes your rights, you may submit a DMCA notice to our Designated Agent:
Knowingly submitting false claims may result in liability.
9Termination
We may suspend or terminate your Account or access to the Services at any time, with or without notice, for any reason, including:
- Violation of these Terms
- Fraud or suspected fraud
- Illegal or unauthorized activity
- Non-payment of fees
- Repeated infringement claims
You may delete your Account at any time.
Upon termination, licenses granted to ONCE for operational purposes persist only as required by DSPs, PROs, CMOs, or legal retention obligations.
10Disclaimers
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:
- Fitness for a particular purpose
- Accuracy or completeness of metadata
- Availability, uptime, or performance
- Accuracy of third-party metadata sources
- Royalty accuracy or completeness
- Guaranteed revenue or placement
- Non-infringement
ONCE does not guarantee DSP approval, playlist placement, or access to all partners.
11Limitation of Liability
To the fullest extent permitted by law, ONCE shall not be liable for any:
- Indirect, incidental, special, punitive, or consequential damages
- Lost profits, royalties, revenue, or data
- Harm arising from third-party actions or failures
- Delays, outages, interruptions, or system failures
- Misuse of your User Content by third parties
- Loss due to inaccurate metadata or submissions caused by you
ONCE's total liability shall not exceed $100.
Some jurisdictions do not allow certain limitations; those limitations apply to the maximum degree allowed.
12Modifications to Terms
We may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
13Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in state or federal courts located in Nashville, Tennessee.
14Miscellaneous
- These Terms constitute the entire agreement between you and ONCE.
- If any provision is found invalid, the remaining terms remain in effect.
- Failure to enforce any right is not a waiver.
- Section titles are for convenience only.
- You may not assign these Terms; ONCE may assign them at its discretion.
